Please read these Terms carefully. They cover how subscriptions and usage-based billing work, what you can and cannot create with Auteur, and how we protect creators, real people, and rights holders.
01Acceptance
These Terms of Service ("Terms") form a binding agreement between you and Auteur ("Auteur", "we", "us") governing your access to auteur.sh, the Auteur platform, its web app, API, SDKs, CLI/TUI, agents, and related services (the "Service"). By creating an account, joining the waitlist, executing an order form, or using the Service, you agree to these Terms, our Privacy Policy, and the Acceptable Use and Content Policy in Section 8.
If you use the Service on behalf of an organization, you represent that you have authority to bind it, and "you" includes that organization. A signed order form ("Service Order") controls over these Terms where they conflict.
02Eligibility and accounts
- You must be at least 18 years old (or the age of majority where you live) and not barred from using the Service under applicable law, including sanctions and export-control laws.
- You are responsible for all activity under your account, workspaces, and API keys. Keep credentials secure and notify us promptly of unauthorized use.
- Account information must be accurate. One person or entity may not use multiple accounts to evade limits, free-tier caps, or enforcement actions.
03The Service
Auteur orchestrates AI agents and third-party generative models to develop, plan, generate, and edit audiovisual productions according to workflows you define. Features, models, providers, and limits may change, be added, or be removed at any time.
Early access and beta. Pre-release, beta, trial, or free ("No-Fee") use is provided as-is, without warranties, support commitments, or indemnification, and may be limited or discontinued at any time.
Third-party models. Some generations are routed to third-party model providers or community resources (for example LoRAs or workflows). Their availability, output, and pricing are outside our control, and their own terms may additionally apply to that use.
04Plans, subscriptions, and usage-based pricing
The Service may be offered under one or a combination of the following:
- Subscriptions — a recurring fee (monthly or annual) for a plan tier that may include seats, features, and an included usage allowance or credit grant per billing period.
- Usage-based fees — metered charges for consumption such as generation time, compute (e.g. GPU-seconds), rendered output duration, model calls, storage, and egress, at the rates shown on our pricing page or in your Service Order.
- Prepaid credits — credits purchased in advance and drawn down as you use the Service.
- Committed spend — negotiated minimum commitments under a Service Order.
Usage is measured by our metering systems, which are authoritative absent manifest error. Usage beyond an included allowance is billed as overage at then-current rates. Unused included allowances do not roll over unless stated otherwise. Generations that fail, are blocked by moderation, or are cancelled mid-run may still consume usage for compute already performed.
05Billing and payment
- Automatic renewal. Subscriptions renew automatically for successive periods of the same length at the then-current price unless you cancel before the renewal date. You can cancel anytime in your account settings; cancellation takes effect at the end of the current period.
- Authorization. You authorize us and our payment processor to charge your payment method for subscription fees in advance and for usage fees in arrears (typically monthly), and when usage reaches a billing threshold during a period.
- Spend limits. You may set usage or spend limits where available. We may also apply default limits, require prepayment, or pause usage to manage credit risk.
- Price changes. We will give at least 30 days' notice of changes to subscription prices. Usage rates may change with notice on our pricing page; changes apply to usage after the effective date.
- Taxes. Fees exclude taxes. You are responsible for applicable sales, use, VAT, GST, and similar taxes, other than taxes on our income.
- Late or failed payment. If payment fails, we may retry, suspend the Service, or downgrade your account after notice. Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum allowed by law.
- Refunds. Except where required by law or stated in a Service Order, fees are non-refundable, and credits have no cash value, are non-transferable, and expire as stated at purchase (or 12 months after purchase if not stated). Promotional and granted credits may expire sooner.
- Disputes. Contact us within 30 days of an invoice to dispute a charge before initiating a chargeback. Unjustified chargebacks may result in suspension.
06Your content and outputs
Inputs. You retain your rights in prompts, scripts, briefs, workflow specs, uploaded assets (plates, voices, logos, likenesses), and other material you submit ("Inputs"). You grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Inputs solely to provide, secure, moderate, and improve the Service, and to share them with model providers as needed to fulfil your requests.
Outputs. As between you and us, and to the extent permitted by law, you own the content generated for you ("Outputs"), subject to your compliance with these Terms and any third-party model or LoRA license.
No output warranty. AI output is probabilistic. Outputs may be inaccurate, may resemble existing people, works, or brands, may not be unique to you, and may not qualify for copyright or other protection. You are solely responsible for reviewing Outputs and for clearing any rights before publishing, distributing, or commercially exploiting them.
Your representations. You represent that you own or have obtained all rights, licenses, consents, and releases required for your Inputs — including written consent from any identifiable person whose likeness, voice, or biometric data you upload — and that your use of the Service and Outputs will not violate law or any third-party right.
07AI disclosure and provenance
You must not present Outputs as genuine recordings of real events or real people where doing so could deceive. You must comply with applicable AI transparency and labeling laws (for example, the EU AI Act's deepfake disclosure obligations). We may embed watermarks, C2PA content credentials, or other provenance metadata in Outputs; you may not remove, alter, or obscure them.
08Acceptable use and content policy
You may not use the Service to create, upload, request, or distribute content that:
- Involves minors sexually — any child sexual abuse material (CSAM), sexualization of minors, or content depicting anyone who is or appears to be under 18 in a sexual context. This is zero-tolerance: we will terminate the account and report to NCMEC and law enforcement.
- Non-consensual intimate imagery — sexual or nude depictions of any real, identifiable person without their verified consent, including "deepfake" pornography.
- Impersonates or deceives — realistic depictions of real people saying or doing things they did not, without consent, in a misleading way; election or political disinformation; fake news footage; or fraud, scams, and impersonation of individuals or organizations.
- Infringes rights — copyright, trademark, publicity, privacy, or other rights, including unlicensed replication of protected characters, performers, or voices.
- Harms people — harassment, bullying, threats, doxxing, hate speech, or content that promotes violence or discrimination based on protected characteristics.
- Glorifies serious harm — terrorism or violent extremism, real-world gore presented as genuine, self-harm or suicide promotion, or instructions for weapons, explosives, or other serious harm.
- Is otherwise illegal in the jurisdiction where it is created or distributed.
Adult content. Lawful sexual content depicting only fictional adults or consenting, verified adults is permitted only where we have expressly enabled it for your account, may require age and identity verification, and must never be distributed where it is illegal or to minors.
You also may not:
- Circumvent, probe, or jailbreak safety filters, moderation, rate limits, or usage metering.
- Reverse engineer the Service, scrape it, or use it or its Outputs to build a competing product or train competing models.
- Resell or sublicense access, or share accounts or API keys, except as permitted for your end users under a developer arrangement.
- Introduce malware, mine cryptocurrency, attack our infrastructure, or interfere with other users.
Developers. If you build applications on our API, you are responsible for your end users' compliance with this policy and must implement reasonable safeguards and an abuse reporting channel.
09Moderation and enforcement
We use automated systems and human review to detect policy violations in Inputs and Outputs, before and after generation. We are not obligated to monitor content, but we may, at our sole discretion and without prior notice:
- Refuse, block, or filter prompts, uploads, or generations;
- Remove or disable access to content;
- Restrict features, throttle, or suspend or terminate accounts;
- Preserve content and account information and report it to law enforcement, NCMEC, or other authorities where required or where we believe in good faith it is necessary to prevent harm.
Fees and credits consumed by violating activity are not refunded. Moderation decisions may be imperfect; our filters are not a guarantee that Outputs are lawful or non-infringing. You may appeal an enforcement decision by emailing hello@auteur.sh.
Copyright and takedown. If you believe content on the Service infringes your rights, send a notice to hello@auteur.sh identifying the work, the material, your contact details, a good-faith statement, and your signature. We respond to valid DMCA and similar notices and terminate repeat infringers.
10Our intellectual property and feedback
The Service, including its software, agents, workflow engine, models we develop, documentation, and branding, is owned by Auteur and its licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Service under these Terms. If you provide feedback or suggestions, we may use them without obligation to you.
11Confidentiality and security
Each party will protect the other's non-public information with reasonable care and use it only to perform under these Terms. We maintain administrative, technical, and physical safeguards for your data as described in our Privacy Policy. You are responsible for configuring your workspaces, access permissions, and keys appropriately.
12Term, suspension, and termination
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access immediately for material breach, non-payment, legal risk, or conduct that harms other users, third parties, or us, and otherwise on 30 days' notice.
On termination, your right to use the Service ends, all unpaid fees (including accrued usage) become due, and we may delete your content after a 30-day retrieval window, except where retention is required by law or for enforcement. Sections that by their nature should survive will survive.
13Disclaimers
The Service and all Outputs are provided "as is" and "as available". To the maximum extent permitted by law, Auteur disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and that the Service will be uninterrupted, error-free, secure, or that Outputs will be accurate, original, or fit for any purpose.
14Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, data, or goodwill. Auteur's total liability arising out of or relating to these Terms will not exceed the greater of (a) the fees you paid to Auteur in the 12 months before the claim or (b) US $100. These limits do not apply to your payment obligations, your indemnification obligations, or your breach of the Acceptable Use Policy.
15Indemnification
You will defend, indemnify, and hold harmless Auteur, its affiliates, and their officers, employees, and providers from any claims, damages, losses, fines, and expenses (including reasonable legal fees) arising from your Inputs, your use or distribution of Outputs, your applications and end users, your violation of these Terms or law, or your infringement of any third-party right, including rights of publicity and privacy.
16Governing law and disputes
These Terms are governed by the laws of the jurisdiction in which Auteur is organized, without regard to conflict-of-law rules. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days by written notice. Disputes will be resolved exclusively in the courts of that jurisdiction, and each party waives class or representative actions to the extent permitted by law. Consumers retain any mandatory protections of their local law.
17General
- Changes. We may update these Terms. Material changes will be notified by email or in the Service at least 30 days before taking effect; continued use after that date constitutes acceptance.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays caused by events beyond reasonable control, including provider or model outages.
- Entire agreement. These Terms, the Privacy Policy, and any Service Order are the entire agreement. If a provision is unenforceable, the rest remain in effect. Failure to enforce is not a waiver.
